Welcome to OVirtual. These Terms of Service ("Terms") govern your access to and use of OVirtual's website, applications, and services (collectively, the "Service"). By using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using OVirtual, you confirm that you are at least 16 years old and that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Your Account
You are responsible for safeguarding your account credentials and for all activities that occur under your account. We strongly recommend enabling Two-Factor Authentication (TOTP or email OTP) from your account settings. Notify us immediately at security@ovirtual.com if you suspect any unauthorized access.
3. Subscription Plans & Billing
OVirtual offers multiple subscription tiers (Free, Starter, Pro, Business, and BYOK). Paid plans are billed monthly or annually in advance via our payment processor (Square). All fees are non-refundable except as required by law or as covered by our 14-day money-back guarantee on new paid subscriptions.
- You may cancel anytime from your dashboard; access continues until the end of the current billing period.
- Prices may change with 30 days' written notice; existing subscriptions remain at their original price until renewal.
- BYOK plan ($14.99/mo) covers platform access only — you are responsible for all charges with your AI providers (Anthropic, OpenAI, etc.).
4. Your Content & Ownership
You own everything you create. OVirtual claims no ownership over the websites, applications, code, text, images, or other content ("Your Content") you build, upload, or generate using the Service. You may export Your Content at any time in source-code form (React, Next.js, Astro, or plain HTML/CSS/JS).
You grant OVirtual a limited, non-exclusive license to host, process, transmit, and display Your Content solely to provide the Service to you.
5. Acceptable Use
You agree not to use OVirtual to:
- Generate or distribute content that is illegal, harmful, harassing, or infringes the rights of others.
- Build phishing sites, malware distribution pages, or fraudulent storefronts.
- Attempt to reverse-engineer, decompile, or disrupt the Service.
- Resell, sublicense, or white-label the Service except under a Business plan with explicit white-label rights.
- Use AI generation features to produce CSAM, non-consensual intimate imagery, or content designed to impersonate real people without consent.
We reserve the right to suspend or terminate accounts that violate these rules, with refunds at our discretion.
6. AI Provider Services
OVirtual integrates with third-party AI providers. When you use the Service, your prompts and generated content are processed by those providers under their own terms. If you use BYOK (Bring Your Own Keys), you contract directly with the provider and OVirtual is not party to that relationship.
7. Intellectual Property
OVirtual, the OVirtual logo, and all associated software, designs, and documentation are the property of OVirtual or its licensors and are protected by copyright, trademark, and other laws. Open-source components are governed by their respective licenses, available in our GitHub repository.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that AI-generated output will be accurate, complete, or fit for any particular purpose. You are solely responsible for reviewing and testing any code, content, or designs produced through the Service before deploying them publicly.
9. Limitation of Liability
To the maximum extent permitted by law, OVirtual's total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. In no event shall we be liable for indirect, incidental, consequential, or punitive damages.
10. Termination
You may terminate your account at any time. We may suspend or terminate your account for material breach of these Terms, prolonged inactivity, or as required by law. Upon termination, you may export Your Content for 30 days; thereafter, your data may be permanently deleted.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced via email and/or an in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Disputes shall be resolved exclusively in the state or federal courts located in Delaware.
